Terms of Sourcing & Mutual NDA

1. Enforceable Mutual Non-Disclosure Agreement (M-NDA)
Every participant on the SourceX directory (both procurement buyers and verified manufacturing facilities) operates under our bilateral Mutual Non-Disclosure Agreement. Any CAD models, STEP files, 2D technical drawings, tolerances, BOM lists, or commercial price targets exchanged via the platform remain strictly confidential proprietary intellectual property.
- Suppliers are legally prohibited from reverse-engineering, sharing, or utilizing buyer CAD files for any third party.
- Files stored on SourceX cloud vaults are encrypted with AES-256 and accessible only to verified estimators.
- Direct factory audits and quality inspections must uphold mutual confidentiality at all stages.
2. Quotations, Pricing & Order Execution
Quotations provided through the SourceX Managed Desk and direct supplier proposals are firm and valid for a minimum of 15 calendar days from issuance. All production tolerances must adhere to ISO 2768-mK or the explicit drawing specifications supplied by the buyer.
- Managed Sourcing orders include dimensional CMM inspection reports prior to dispatch.
- Tooling and NRE charges are billed on agreed milestone completion with sample approval.
- Milestone payments are escrow-secured until dimensional conformance verification.
3. Code of Conduct & Verification Standards
SourceX conducts physical or video-audited machinery verification on partner plants. Suppliers must maintain valid business registrations (GSTIN/UDYAM), calibration logs for metrology instruments, and honest machine availability telemetry.
